1. Introduction

The terms and conditions are developed to govern the use of the Phillip Bank Virtual MasterCard (“Virtual Card”), which has been issued to you by Phillip Bank Plc (“PLB”), per your request. By accepting and/or using this Virtual Card, you agree to be bound by the terms and conditions contained in this document and the terms and conditions of using the Phillip Bank Debit Card.

2. Definitions

3AccountMeans the bank account, either Savings or Current account, used as a funding account to fund your Virtual Card and where your transactions will be reflected.
4“You” and “your”Refers to an individual or legal person who has received the Virtual Card and is authorised to use the Virtual Card as provided in this document.
5“We,” “us” and “our”Means Phillip Bank Plc, our successors, affiliates, or assignees.
6“PLB”Refers to Phillip Bank Plc.
7“Website”Means www.phillipbank.com.kh
8MerchantMeans an online supplier of goods and/or services which has agreed to accept the Virtual Card as payment for goods and/or services.
9Authorised SignatoryRefers to an individual person who has been authorised by Cardholder and who is able to carry out debit transactions on the Cardholder Account, using the Phillip Mobile Application.
10Authorised SignatoryRefers to an individual person in the organisation who has the authority to authorise and approve key decisions and major expenditures.

3. Your Virtual Card

The Virtual Card is a prepaid and reloadable card. You can set the balance of the Virtual Card within limits provided by PLB.

4. The Virtual Card is not a Credit Card

The Virtual Card is not a gift card and not for gifting purposes. You will not receive any interest on your funds on the Card. By using the Virtual Card, you agree to be bound and pay fees and charges as outlined below:

  • Issuance Fee: Free
  • All fees and charges are not refundable
  • Fee(s) and charge(s) are subject to change. PLB will communicate the change of fee and charge to you during your process of registering the Virtual Card through PLB’s channels such as Phillip Mobile Application
  • You agree to pay all fees and charges associated with the Virtual Card
  • You agree that we may from time to time amend the above fee(s) and charge(s) related to the Virtual Card at our sole discretion. You agree that any such fees and charges may be deducted from your Account(s)

5. Use of Virtual Card

If you permit another person to have access to your Virtual Card, you are liable and responsible for all transactions made with the Virtual Card, Card Number or Account Number, as well as all related fees and charges and liabilities incurred, by those persons. You are wholly responsible for the use of each Virtual Card Number according to the terms of this document.You may use the Virtual Card, as applicable, to purchase goods or services wherever your Virtual Card is honoured as long as you do not exceed the balance available in your Account and/or defined default limit or any limit set by you (refer to point 6. Virtual Card Limit). You should be aware that some merchants such as Flight Companies, Cinemas, or Hotels would require you to present the physical card for proofing purposes and can reject or refuse to accept the Virtual Card; therefore, you are required to read and agree to the merchant’s terms and conditions before you purchase the product(s)/service(s). PLB is not responsible for such rejection by the merchants.You further agree not to use your Virtual Card for illegal transactions and purposes such as pornography, gambling, or any other illegal purposes including the purchase of goods or services prohibited by the laws of the jurisdiction you are in.

6. Virtual Card Limit

PLB defines different limits in order to protect and secure the use of Virtual Card. These limits are given to you, at your discretion, to define for your usage purposes. A few standard limits are listed, including but not limited to,

  • Virtual Card currency is US Dollar
  • Number of Active Virtual Cards is limited to 5 Virtual Cards, MasterCard cards accumulative and have been issued by any channel;
  • The daily purchase amount limit per one Virtual Card is between USD 1.00 to USD 10,000.00. You can set and change the purchase limit within this range anytime.
  • The maximum daily purchase amount up to USD 10,000.00 per one Virtual Card.
  • The amount of Virtual Card can on-hold up to USD 10,000.00 and maximum day on-hold up to 120 days.
  • The maximum daily purchase transaction up to 20 transactions per one Virtual Card.
  • You can block and unblock the Virtual Card anytime at your needs
  • Each Virtual Card will have (03) three years validity period.

7. Authorisation Holds

You do not have the rights to stop payment on any purchase originated by Virtual Card after the transaction is authorised. When you use your Virtual Card to pay for goods or services, we will hold the amount in your source account to cover the settlement. Until the transaction is finally settled, the amount that is held will not be available to you for any other purposes. We will debit your account, where applicable, when there is a settlement request from an acquiring bank, even if your Virtual Card has expired.

8. Returns and Refunds

If you are entitled to a refund on goods or services obtained via your Virtual Card, you agree to credit the refund to account linked to the Virtual Card. You are not entitled to such a refund if your account has been closed.

9. Card Cancellation and Suspension

We reserve the right at our sole discretion to limit you on using the Virtual Card, including limiting or prohibiting specific types of transactions. We may refuse to issue a Virtual Card or cancel your Virtual Card with or without prior notice. You agree to not use or allow others to use an expired, revoked, cancelled, suspended, or otherwise invalid Virtual Card. Not all services described in this document are available to all persons or channels. We reserve the right to limit, at our sole discretion, the provision of any such services to any person or in any channel. Any offer of a service in this document shall be deemed void where prohibited. We can waive or delay enforcement of any of our rights under this Agreement without losing them.

10. International Transaction Fee

If you initiate a transaction in a currency or country other than the currency or country in which your Virtual Card was issued, the amount deducted from your funds will be converted by Payment Schemes (MasterCard) into an amount in the local currency of your Virtual Card. MasterCard U.S.A. Inc. will establish a currency conversion rate for this convenience, using a rate selected by MasterCard U.S.A. Inc. from the range of rates available in wholesale currency markets for the applicable central processing date, which may vary from the rate MasterCard U.S.A. Inc. itself receives, or the government-mandated rate in effect for the applicable central processing date. In each instance, if you obtain your funds in a currency or country other than the currency or country in which the Virtual Card was issued, we may increase the currency conversion rate on top of the transaction amount and will retain this amount as compensation for our services. This charge is independent of and in addition to the currency conversion rate established by MasterCard U.S.A. Inc.

11. Receipts

You should get or request a receipt at the time you make a transaction. You agree to retain your receipts to verify your transactions. In addition, you may verify your transactions in the Virtual Card history and bank account statement against your purchase receipt. You agree to examine and notify us of any errors, irregularities, discrepancies, claims or unauthorised debits or items whether made, processed or paid as a result of forgery, fraud, lack of authority, negligence or otherwise by any person whatsoever.You further agree that if you fail to advise us in writing notifying us of any errors, discrepancies, irregularities claims or unauthorised debits or items in the statement within forty-five (45) days from the date of the statement and notification is released, the Bank’s accounts or records shall be conclusive evidence of the transaction entries and balances in such account and you shall be deemed conclusively to have accepted all matters.

12. Obtaining Balance and Transaction Information for Your Virtual Card

You should keep track of the amount of funds available in your Account. You may obtain information about the amount of funds you have remained in your Account by logging into the Phillip Mobile Application or other digital channels provided by PLB.

13. Confidentiality

We may disclose information to third parties about your Virtual Card or the transactions you make using your Virtual Card: (1) where it is necessary for completing transactions; (2) in order to verify the existence and condition of your Virtual Card for a third party, such as a merchant; (3) in order to comply with the government agency, court order or other legal reporting requirements; (4) if you give us your written permission; (5) to our employees, auditors, affiliates, service providers or attorneys as needed.Your data will not be shared with online retail merchants or merchants in other transactions for which Virtual Card is used.

14. Our Responsibility for Failure to Complete Transactions

In no event will we be liable for consequential damages (including lost profits), extraordinary damages, special or punitive damages. We will not be liable, for instance: (1) if, through no fault of ours, you do not have enough funds available in your Account to complete the transaction; (2) if a merchant refuses to accept your Virtual Card or provide cash back; (3) if an electronic terminal where you are making a transaction does not operate properly, and you knew about the problem when you initiated the transaction; (4) if access to your Virtual Card has been blocked after you reported your Virtual Card or Access Code as lost or stolen; (5) if there is a hold or your funds are subject to legal process or other encumbrance restricting their use; (6) if we have reason to believe the requested transaction is unauthorised; (7) if circumstances beyond our control (such as fire, flood or computer or communication failure) prevent the completion of the transaction, despite reasonable precautions that we have taken; or (8) for any other exception stated in our Agreement with you.

15. Lost or Stolen Cards/Unauthorised Transfers

If you believe your Virtual Card details have been stolen, please contact our call centre number:(855) 86 930 000/ 89 989 818 or you may block your Virtual Card immediately using Phillip Mobile Application.

16. Your Liability for Unauthorised Transactions

You agree to exercise reasonable control over your Virtual Card, PIN(s) in accessing digital services such as Phillip Mobile Application, OTP, Username; and Password(s) and any other access code related to your Account through digital channels. Tell us AT ONCE if you believe your Virtual Card, and/or OTP has been lost or stolen. Also, if your transaction history shows the transactions that you did not make, including those made with your Card Number or Account Number, or you believe a transaction has been made without your permission, inform us at once or block your card immediately.You are liable for all transactions posted to your account linked to Virtual Card. It is your sole responsibility to keep your banking details, including but not limited to: Username, PIN, Card Number, Expiry Date, OTP, etc.

17. Amendment and Cancellation

We may amend or change the terms and conditions of this Agreement at any time. You will be notified of any change in the manner provided by applicable law before the effective date of the change. However, if the change is made for security purposes, we have the right to implement such change without prior notice. We may cancel or suspend your Card or this Agreement at any time. You may request to terminate or cease to use your Virtual Card at any time upon completing an application form to the Bank.

18. No Warranty Regarding Goods and Services

We are not responsible for the quality, safety, legality or any other aspect of any goods or services you purchase with your Virtual Card. It is your responsibility to check and work with Merchants to ensure that you receive goods and services, as agreed in the terms of purchase.

19. Electronic Access

The Authorised Signatory can access balance and transaction details of your Account through the following forms of electronic equipment: Phillip Mobile Application.You can access and view balance and transaction details for your own Account through the following forms of electronic equipment: Phillip Mobile Application.Only you, Authorised Users or Authorised Signatory are able to carry out debit transactions on the Cardholder Account using Phillip Mobile Application.

20. Anti-Money Laundering and Sanctions

20.1. The Principal, Authorised Signatory, Authorised Users or Cardholders agree that PLB may delay, block or refuse to process any transactions, cancel any access to a PLB Virtual Card and/or terminate the PLB Virtual Card Facility immediately and without prior notice to the Principal, Authorised Signatory, Authorised Users or Cardholders without incurring any liabilities if PLB suspects that:
(1). A transaction may be breached any laws or regulations in Cambodia or any other country;
(2). A transaction may be involved any person (natural, corporate or governmental) that is itself sanctioned or is connected, directly or indirectly, to any person that is sanctioned under economic and trade sanctions imposed by the United States, the European Union or any country; or a transaction may directly or indirectly involve the proceeds of, or be applied for the purposes of, unlawful conduct

20.2. The Principal, Authorised Signatory, Authorised Users or Cardholders must provide all information to PLB which PLB reasonably requires in order to manage anti-money laundering or counter-terrorism financing and economic and trade sanctions risk or to comply with any laws in Cambodia or any other country. The Principal, Authorised Signatory, Authorised Users or Cardholders agree that PLB may disclose any information concerning the Principal, Authorised Signatory, Authorised Users or Cardholders to:
(1). Any law enforcement, regulatory agency or court where required by any such law or regulation in
Cambodia or elsewhere; and
(2). Any correspondent PLB uses to make the payment for the purpose of compliance with any such law or regulation

20.3. Unless the Principal has disclosed that it is acting in a trustee capacity or on behalf of another party, the Principal warrants that it is acting on its own behalf in entering into the Phillip Virtual Card Facility.

20.4. The Principal, Authorised Signatory and Authorised users declare and undertake to PLB that the processing of any transaction by PLB in accordance with the Principal’s, Authorised Signatory’s or an Authorised User’s instructions will not breach any laws or regulations in Cambodia or any other country.

21. Foreign Currency Transactions

  • A KHR account is not allowed to link and create a Virtual MasterCard. Customers must have USD accounts to link and create a Virtual MasterCard
  • If you make payment via the Virtual MasterCard in another currency, the system will convert it automatically, based on MasterCard’s exchange rate at the time of authorised transaction

22. Error or dispute resolution

If we make a mistake or our service does not meet your expectations, we want to know. To lodge a complaint, call us on (855) 86 930 000 / 89 989 818, talk to the staff at our branches or send a letter to our Complaint Resolution Centre at this address: #27DEFG, Preah Monivong Blvd., Sangkat Srah Chork, Khan Daun Penh, Phnom Penh, Cambodia or email us via: info@phillipbank.com.khOur aim is to resolve the complaint within two (2) working days. If this is not possible, we will keep you informed on the progress of the matter and how long we expect it will take to resolve the complaint.If a complaint lodged verbally cannot be resolved by the bank within this timeframe, the bank shall request the consumer to lodge the complaint in writing.(1). Phillip Bank Customer AdvocateIf a complaint is not resolved to the satisfaction of Cardholder, the Cardholder can ask to have it reviewed by PLB’s Customer Advocate who will provide a free review of more difficult complaints to help reach a solution.Contact details:Telephone : (855) 86 930 000/89 989 818Email : info@phillipbank.com.kh(2). Financial Services Dispute Resolution SchemesIf the complaint is serious or related to a financial, systemic or legal issue, PLB will submit this complaint to PLB’s Senior Management or Board of Directors for the final decision, which may take up to 30 days.In case a complainant is not satisfied with the solution provided by PLB, the complainant or PLB can escalate the complaint to the National Bank of Cambodia to review the complaint process and the final decision made by PLB. In case the complaint cannot be solved by NBC, the complaint will be sent for arbitration or to the courts.

23. Force Majeure

To the extent permitted by laws, PLB will not be liable to the Principal or any person authorised to transact on a PLB Virtual Card Facility for any loss or damage (whether direct or consequential), nor be in default under the PLB Virtual Card Facility, for failure to observe or perform any of its obligations under the PLB Virtual Card Facility for any reason or cause which could not, with reasonable diligence, be controlled or prevented by PLB, including acts of God, acts of nature, acts of government or their agencies, strikes or other industrial action, fire, flood, storm, riots, terrorism, power shortages or failures, sudden and unexpected system failure or disruption by war or sabotage.

24. Responsibility

Subject to the Terms and Conditions applicable to the Account(s), you understand that you are responsible for all uses of the Virtual Cards created by you and for the confidentiality of Data, your password or other information.

25. Notice

You may also be notified of changes to this Agreement/terms and conditions or on other matters relating to Virtual Cards by notices displayed on or links to notices displayed on our website.

26. Miscellaneous

(1). One Time Password (OTP)
You agree and acknowledge to:
(i). Keep the password totally confidential and not reveal/ forward the password to any third party
(ii). Be responsible for interception/misuse of the OTP sent to you for the generation of the Virtual Card
(2) Internet Frauds:
The Internet is susceptible to a number of frauds, misuses, hacking and other actions, which could affect making/use of Virtual Cards. Whilst we shall aim to provide security to prevent the same, there cannot be any guarantee against such Internet frauds, hacking and other actions, which could affect the making and use of the Virtual Cards. You shall separately assume/evaluate all risks arising out of the same.
(3). Technology Risks:
The technology for the Virtual Cards offered by us could be affected by virus or other malicious, destructive or corrupting code, program or macro. It may also be possible that our site may require maintenance and during such time, it may not be possible to process the request of the customers. This could result in delays in the processing of instructions or failure in the processing of instructions and other such failures and inability. You understand and acknowledge that we disclaim all and any liability, arising out of any failure or inability by us to honour any customer instruction.
(4). Limits:
You are aware that we may from time to time impose maximum and minimum limits on the Virtual Cards. You realise, accept and agree that the same is to reduce the risks on you. For instance, we may impose transaction restrictions within particular periods or amount restrictions within a particular period or even limits on each transaction or the limits of cards created per day. You shall be bound by such limits imposed and shall strictly comply with them.
(5). Indemnity:
You shall indemnify us for and against all losses and damages that may be caused as a consequence of breach of any of the Virtual Card’s Terms and Conditions/Agreement and the terms and conditions relating to the operation of your internet banking Account and for purchases made by use of the Virtual Card.
(6). Withdrawal of Facility:
We shall be entitled to withdraw the above service at any time whatsoever.
(7). Charges:
You hereby agree to bear any fees and charges as may be stipulated by us from time to time for availing of these services. You hereby authorised us to recover all charges related to Virtual Cards as determined by us from time to time by debiting your Account(s).
(8). Others:
Unutilised amount:
(i). In case a Virtual Card is not used within 365 days from its creation, PLB will charge the amount of USD 5 to activate your Virtual Card and automatically deduct from your source account(s) although your Virtual Card has expired.

27. Governing Law

This Agreement shall be construed and governed in accordance with the laws of the Kingdom of Cambodia.

28. Language

These Terms and Conditions have been prepared in English. In the event of any inconsistency between the original English version and any translations, the English version shall govern.
